Each subsequent chapter discusses a certain type of clause in the term sheet (e.g. milestone investments, liquidation preference, anti-dilution protection, and drag along). These chapters also include a standard (and, if applicable, alternative) version(s) of the relevant clause.
The book includes many examples, as well as negotiation tips for both entrepreneurs and investors. The result is an extremely practical guide to venture capital deals, which will be invaluable to anyone involved in venture capital transactions – investors, entrepreneurs and advisors.

The book is very well written, meaning it is full of substance and delivers it with precision and clarity. One learns an awful lot on every single page. I’d give it 5 stars if it were not for the price (if it went down to GBP 11.90 it would deserve 5 stars).

the book goes in great detail to explain the standard T&C of a VC deal, recommend it 100%. Although definitely US-centric, the principles are applicable to EU-based companies as well.
