A great book for anyone relatively new to M&A or who wants an insight into not just how deals work but also a great analysis of why they so often fail. Unlike many other books on the subject, Why Deals Fail is very readable and is filled with real and recent examples that do a great job of illustrating the points made. As well the dealmaking process itself, the book also covers important broader points such as setting an overall business strategy and an M&A strategy within that to help reduce deal risks. Such points may seem obvious to many yet readers with more experience of M&A will find themselves nodding in agreement and taking away some useful pointers and reminders that could be invaluable in their next transaction.

A good read. A lot of it I found common sense, but I like the structure. Would love to see an up to date book that provides practical advice (examples of documents, templates. Sales memorandum etc etc)

Why Deals Fail and How to Rescue Them is a concise, authoritative and well written guide to mergers and acquisitions. It is organised logically into key areas: the strategic rationale for a deal, due diligence, valuation, negotiation, regulatory issues and post-deal integration. For each of these topics the book provides thorough advice based on the authors’ research and personal experience. There are also short case studies covering major M&A transactions by Diageo, HP, Kraft, Manchester United and others. It is highly practical, and each chapter ends with a list of key points. It is short enough to read and get an excellent overview of this topic at a single sitting, and would be a perfect introduction for MBA students. It would also make an excellent vade mecum for managers and executives working in this area.

This is a solid set of shared experiences and points of view from experienced practitioners. Good credible reading. Maybe a shame their employer didn’t read it before the debacle of Everest, but scorn aside what a great case study for the next edition!
